Terms of Service

Introduction
These Terms of Service ("Terms") govern your use of PayFile Pro. PayFile Pro is operated by 1001188544 Ontario Inc., a Canadian corporation based in Ontario ("we," "us," "our"). By creating an account or using PayFile Pro, you agree to these Terms.
If you don't agree with these Terms, don't use the service.

What PayFile Pro is
PayFile Pro is a software tool that generates bank-ready payment files — ACH (NACHA) files for US banks and EFT files for Canadian banks including TD, RBC, BMO, Scotiabank, CIBC, ATB, and Central 1. You enter or upload payment details, and PayFile Pro produces a file that you then upload to your own bank.
PayFile Pro is a file generator. It is not a bank, a money transmitter, a payment processor, or a financial institution. We do not move money, hold funds, or initiate payments on your behalf. The only party that actually processes your payments is your bank, after you upload the file we produce.
Who can use PayFile Pro
PayFile Pro is a business-to-business service. You may use it only if:
- You are at least 18 years old.
- You are using it on behalf of a business (sole proprietorship, partnership, corporation, or similar), not as a consumer for personal purposes.
- You have authority to bind that business to these Terms.
- You provide accurate account information — valid email, real company name, correct primary bank selection — and keep it current.
Accounts
You are responsible for keeping your account credentials secure and for everything that happens under your account. If you suspect unauthorized access, email hello@payfilepro.com immediately.
Credits and payment
PayFile Pro uses a prepaid credit model. You buy a credit pack, and each file you generate consumes one credit.
Credit packs (USD):
- Starter Pack — 5 credits for $10 USD
- Standard Pack — 20 credits for $35 USD
- Pro Pack — 50 credits for $75 USD
How credits work:
- All prices are in US dollars.
- Canadian customers are charged HST in addition to the listed price. Sales tax is calculated and collected by Stripe at checkout.
- One credit = one file generation, regardless of bank format or number of payees in the file.
- Credits do not expire.
- Credits are non-transferable between accounts.
Refunds. Credit pack purchases are non-refundable. Once credits have been added to your account, the purchase is final, regardless of whether the credits have been used. If you believe a charge was made in error, email us and we'll review it in good faith — but we are not obligated to issue refunds for change of mind, unused credits, or account deletion.
Price changes. We may change the price of credit packs at any time. Credits you've already purchased are not affected by later price changes.
Acceptable use
You agree to use PayFile Pro only for legitimate business payment files. You will not:
- Use PayFile Pro to generate files related to fraudulent transactions, money laundering, terrorist financing, or transactions involving sanctioned individuals or entities.
- Use the service for any purpose that is illegal under the laws that apply to you, your business, or the recipients of your payments.
- Submit false or misleading account information.
- Attempt to bypass the credit system, reverse-engineer the service, or probe for vulnerabilities other than through a reasonable security disclosure.
- Use the service in a way that interferes with other users or our infrastructure.
Your responsibility for file contents. You are solely responsible for the accuracy of every piece of data you enter or upload — account numbers, routing numbers, payee names, amounts, and dates. PayFile Pro formats the data you give us; it does not verify it. If you enter a wrong account number, the resulting file will contain that wrong account number.
Your responsibility for uploading to your bank. PayFile Pro produces a file. You are responsible for uploading that file to your bank and for any consequences of doing so — including reviewing the file before upload, following your bank's submission procedures, and meeting any cutoff times or approval workflows your bank requires.
What we will and won't guarantee
What we aim to do. We build our output files against the published specifications of each supported bank (NACHA operating rules, CPA Standard 005, and bank-specific EFT import formats). We update formats as specifications change and we fix bugs when we find them.
What we don't guarantee:
- That every bank will accept every file. Banks occasionally reject files for reasons unrelated to format — fund availability, account status, fraud checks, internal policy. A rejection by your bank is not a failure of PayFile Pro.
- That the service will be available at all times. PayFile Pro is provided on an "as is" and "as available" basis with no uptime commitment.
- That the service will be error-free. Software has bugs; we fix them when found.
Changes to the service
We may modify, suspend, discontinue, or remove features or supported bank formats at any time. Where possible we'll give notice, but we're not obligated to.
If we permanently discontinue the service entirely, we'll email active account holders at least 30 days in advance and, as an exception to our standard refund policy, refund the pro-rata value of any unused credits.
No advice
PayFile Pro is a file generator, not an advisor. Nothing in the service, on our website, or in our emails constitutes legal, tax, banking, accounting, or compliance advice. You are responsible for determining whether your use of the service complies with the laws and regulations that apply to your business, and for consulting qualified professionals where appropriate.
Limitation of liability
To the maximum extent allowed by law:
- PayFile Pro, 1001188544 Ontario Inc., and its officers, directors, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service — including lost profits, missed payments, late fees, or damaged business relationships.
- Our total liability to you for any claim arising from these Terms or the service is capped at the amount you paid us in the 12 months preceding the claim.
Some jurisdictions don't allow certain limitations of liability; in those places, the limitations above apply to the extent allowed.
Indemnity
You agree to defend, indemnify, and hold harmless PayFile Pro, 1001188544 Ontario Inc., and its officers, directors, employees, and contractors from any claim, demand, loss, or expense (including reasonable legal fees) arising from:
- The content of any payment file you generate with PayFile Pro.
- Any file you upload to your bank, and the consequences of that upload.
- Your use of the service for any unlawful or fraudulent purpose.
- Your breach of these Terms.
Intellectual property
PayFile Pro — the software, design, content, and brand — is owned by 1001188544 Ontario Inc. These Terms don't give you ownership of the service or any right to use our name or logo beyond ordinary use of the product.
You own the data you enter. We don't claim any ownership of your payment data, payees, or business information.
Termination and suspension
You can close your account at any time by emailing hello@payfilepro.com. When you close your account, any unused credits are forfeited and no refund is due.
We can suspend or terminate your account if:
- You violate these Terms.
- We receive a chargeback or failed payment we can't resolve.
- We are required to do so by law.
Fraud or illegal use results in immediate termination without warning. This includes use of stolen payment methods, attempts to generate files for fraudulent or sanctioned transactions, or any other use we reasonably believe is illegal. In these cases, unused credits are forfeited and no refund is due.
For other violations, we'll generally warn you first and give you a chance to fix the issue.
Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.
Exclusive jurisdiction. Any dispute arising from these Terms or your use of PayFile Pro must be brought in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of those courts.
No class actions. You and PayFile Pro each agree that any dispute will be resolved on an individual basis. You will not bring or participate in a class action, collective action, or representative proceeding against us, and you waive any right to do so to the maximum extent permitted by law.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email and update the "Last updated" date. Continued use of PayFile Pro after the effective date of revised Terms means you accept them.
